This Seller/Vendor Agreement ("Agreement") is a legally binding agreement between the Vendor ("Vendor", "Seller", "Food Provider", "You", "Your") and All in One Services, operating under the brand name Tifto ("Tifto", "Platform", "Company", "We", "Us", "Our").
By registering as a Vendor on Tifto, accessing vendor services, accepting customer orders, or continuing to use the Platform, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.
By registering as a Vendor on Tifto, the Vendor acknowledges that they have read, understood, and agreed to be bound by this Seller/Vendor Agreement.
Tifto is a technology-enabled marketplace platform that connects customers with independent food vendors, home kitchens, tiffin centers, cloud kitchens, caterers, and meal subscription providers.
Tifto acts solely as an intermediary platform and does not own, prepare, cook, manufacture, package, store, transport, or sell food products unless expressly stated otherwise.
The Vendor remains an independent business entity and shall be solely responsible for all food products and services offered through the Platform.
To become a Vendor on Tifto, applicants may be required to provide:
Submission of documents does not guarantee approval.
Tifto reserves the absolute right to approve, reject, suspend, or remove any Vendor application.
The Vendor agrees to:
The Vendor shall ensure that all information displayed on the Platform remains true, complete, and accurate at all times.
The Vendor acknowledges and agrees that food quality responsibility remains exclusively with the Vendor.
The Vendor shall be solely responsible for:
Tifto shall not assume responsibility for food quality issues arising from Vendor operations.
The Vendor agrees to comply with all applicable laws including:
The Vendor shall obtain and maintain all required registrations, licenses, permits, and approvals.
Failure to maintain regulatory compliance may result in immediate suspension.
The Vendor shall maintain accurate:
The Vendor shall not intentionally misrepresent products or pricing.
Tifto reserves the right to request modifications where inaccurate information is identified.
Vendors shall make reasonable efforts to fulfill accepted orders.
Repeated cancellations, excessive delays, customer complaints, or operational failures may result in account restrictions.
The Vendor shall notify Tifto promptly regarding any inability to fulfill orders.
Where delivery services are offered by the Vendor, the Vendor agrees to:
The Vendor remains responsible for delivery quality when using self-managed delivery systems.
The Vendor acknowledges that Tifto may charge:
Applicable fee structures may be communicated separately and may be modified from time to time.
Continued use of the Platform constitutes acceptance of revised fee structures.
Vendor settlements shall be processed according to the Payment & Settlement Policy.
Tifto may deduct:
Settlement schedules may vary based on operational, regulatory, or financial requirements.
The Vendor shall treat all customer information as confidential.
Customer information may only be used for:
The Vendor shall not:
Violation may result in immediate account termination.
Vendors shall not:
Any prohibited conduct may result in immediate enforcement action.
Vendors agree to cooperate in investigations relating to:
Failure to cooperate may impact Vendor status on the Platform.
Tifto may suspend or restrict Vendor accounts where:
Suspension may occur with or without prior notice where reasonably necessary.
Tifto reserves the right to permanently terminate Vendor accounts for:
Termination may result in removal of listings and suspension of future participation.
The Vendor grants Tifto a non-exclusive, royalty-free license to use:
Such use may be made for platform operations, promotions, advertising, and customer communications.
The Vendor represents that it owns or has legal authority to use all submitted content.
The Vendor agrees to defend, indemnify, and hold harmless Tifto, All in One Services, its founder, employees, affiliates, contractors, and representatives from any claims, liabilities, losses, penalties, damages, investigations, fines, legal proceedings, or expenses arising from:
This indemnification obligation shall survive termination of this Agreement.
Tifto's role is limited to providing technology services.
To the maximum extent permitted by law, Tifto shall not be liable for:
Any liability of Tifto shall be limited to amounts directly received by Tifto in connection with the affected transaction.
Neither party shall be liable for delays or failures caused by circumstances beyond reasonable control, including:
This Agreement shall be governed by the laws of India.
Any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in Mandsaur, Madhya Pradesh, India.
For Vendor support and compliance matters:
By registering as a Vendor on Tifto, the Vendor acknowledges that they have read, understood, and agreed to be bound by this Seller/Vendor Agreement.
